1. About These Terms

These Terms of Service ("Terms") govern access to and use of the website, mobile application and related services operated by PATH Collective Pty Ltd (ACN 684 047 078) of Office 2/420 Spencer Street, West Melbourne VIC 3003, Australia ("PATH Collective", "PATH", "we", "us" or "our") (the "Platform"). By creating an account, submitting a Facilitator application, browsing, purchasing, booking, or otherwise accepting these Terms through the Platform, you agree to be bound by them. If you do not agree, you must not use the Platform.

Additional terms may apply to memberships, promotions, specific events or Facilitator programs. Where inconsistent, those specific terms prevail to the extent of the inconsistency.

The Platform is a marketplace connecting independent wellness, holistic and community facilitators ("Facilitators") with individuals seeking events, sessions and experiences ("Members"). PATH Collective is not itself a wellness, health or therapeutic service provider.

2. Eligibility and Accounts

PATH is an 18+ platform. You must be at least 18 years old to create an account, apply as a Facilitator, make a booking, or attend an Event through PATH. PATH may collect and use age or date-of-birth information to assess eligibility and may reject registrations or bookings where the 18+ requirement is not met.

You must provide accurate information, keep your credentials secure, and update material changes. PATH may request identity, qualification, insurance, payment or other information or documentation where reasonably necessary. Guest checkout may be available without an account; guests remain bound by these Terms for that booking.

3. Accounts

3.1 Members

You may browse the Platform and, in most cases, complete a booking as a guest by providing the information required at checkout. Guest bookings carry more limited functionality than a registered account (for example, guests cannot access account-based self-service data export or account closure tools - see our Privacy Policy).

3.2 Facilitators

Facilitators must apply and be approved into one or more of the following categories before they may publish Events of the corresponding type:

  1. Community Host - community and social events. Applications in this category may be automatically approved through PATH's platform eligibility process, subject to PATH's right to review, restrict or withdraw access where reasonably necessary.
  2. Wellness Guide - guided practice, including work with participants in vulnerable states and activities involving altered states of consciousness or trauma-informed work. Applications require review and approval by a PATH administrator (which may be informed by an AI-assisted assessment, but is never decided by AI alone).
  3. Holistic Practitioner - holistic therapy, including touch-based/bodywork practices, sexuality and intimacy-related facilitation, plant-medicine-related practices only to the extent lawful in the jurisdiction in which the activity occurs and permitted by PATH policy, and one-on-one therapeutic work. Applications require review and approval by a PATH administrator, and may require evidence of relevant training, insurance and first-aid certification.

Approval as a Facilitator, at any level, is a platform access control - not a warranty or representation by PATH that a Facilitator, Event, treatment, representation, qualification or outcome is suitable for every person. See clause 9 (Higher-Risk and Wellbeing Activities).

4. What PATH Does

PATH operates a discovery, community and marketplace platform through which users can discover, follow, save, book and review experiences, events and services offered by approved Facilitators. PATH also provides payment, ticketing, communications, recommendation, moderation and related platform functions.

Facilitators design, describe, price and deliver their own offerings. Unless expressly stated otherwise, a Facilitator is not an employee, partner, agent or representative of PATH and has no authority to bind PATH.

5. Bookings, Tickets and Multiple Attendees

Event pages state the relevant date, time, location/online status, host, ticket tier, price and refund policy. Users must review these before booking.

Paid and donation bookings confirm only once the payment processor verifies payment; free bookings may confirm immediately. A pending or abandoned payment does not create a confirmed entitlement to attend.

Each booking is issued one digital ticket with a unique QR code, which covers every ticket in that booking. Users must not forge, duplicate, sell or otherwise misuse ticket credentials. A single booking may cover multiple attendees, but every attendee must satisfy the 18+ rule and any other stated eligibility requirements.

6. Payments, Fees and Facilitator Payouts

Transactions are currently in Australian dollars. PATH charges the buyer through Stripe-hosted checkout and acts as merchant of record for the customer charge. Full card details are entered into Stripe's hosted payment environment rather than PATH's own systems.

Checkout may include a ticket/service price and a PATH booking/platform fee. Fee structures may vary by Facilitator plan or offering and are disclosed through the Platform.

Facilitator earnings are paid separately after applicable holds, and subject to refunds, disputes, chargebacks, fraud/compliance holds and permitted adjustments. Stripe Connect onboarding and payout capability are required before a Facilitator can accept paid bookings.

7. Refund Policy

Each paid Event uses a refund policy displayed before purchase and frozen for that booking at the time of purchase; subsequent Facilitator changes do not affect existing bookings. Unless another policy is shown, Standard applies.

  • Flexible - 100% of the ticket-price component if cancelled at least 24 hours before start; otherwise no automatic refund.
  • Standard (platform default) - 100% at least 7 days before; 50% at least 24 hours before; otherwise no automatic refund.
  • Strict - no automatic refund entitlement at any time (a Member may still submit a goodwill request to the Facilitator).
  • Custom - the percentages and time windows displayed for that Event, each validated between 0% and 100%.

PATH also provides a platform cooling-off rule: if a Member requests a refund within 24 hours after booking and the Event is more than 7 days away, 100% of the ticket-price component is refunded automatically regardless of the Event's policy. The booking fee is retained in all buyer-initiated refunds unless PATH or the Facilitator expressly refunds it, or law requires otherwise.

If PATH or a Facilitator cancels an Event, confirmed attendees receive a full refund of the amount paid, including the booking fee, returned to the original payment method.

Nothing in this clause excludes, restricts or modifies any right or remedy that cannot lawfully be excluded under the Australian Consumer Law. Where the ACL gives a greater entitlement, the ACL prevails.

8. Changes, Cancellations and No-Shows

Facilitators may change or cancel offerings where reasonably necessary, subject to law and the refund rules in clause 7. Material changes should be communicated to affected attendees. A no-show is not automatically refundable unless the applicable policy or law provides otherwise.

9. Higher-Risk and Wellbeing Activities

Some offerings may involve physical exertion, touch, bodywork, emotionally intense practices, intimacy-related subject matter, holistic/complementary practices, retreats, altered-state practices, or other inherent risks ("Higher-Risk Activities"). Participation is voluntary. Only Facilitators approved as a Wellness Guide or Holistic Practitioner, as applicable, may offer Higher-Risk Activities, and each Event listing must accurately describe the nature of the activity.

Before participating, users must consider disclosed risks, their own circumstances and any professional advice they reasonably require, disclose information reasonably necessary for safe participation, and follow lawful safety directions given by the Facilitator.

PATH does not provide medical, psychological, legal or other regulated professional advice merely by operating the Platform or displaying an offering. No Platform content guarantees a health, therapeutic, spiritual, financial or other outcome.

Nothing in these Terms authorises the unlawful supply, possession or use of controlled substances.

10. Facilitator Obligations

Facilitators must: provide accurate application/profile information; maintain required qualifications, registrations, licences, permits and insurance; comply with law and their professional obligations; accurately describe offerings and material risks; provide a safe environment; obtain activity-specific informed consent where required; respect participant boundaries and consent; and notify PATH of matters affecting their eligibility or safety.

Facilitators must not publish or deliver offerings outside the categories or approval levels granted by PATH. PATH may request evidence and may suspend publishing, bookings or payouts while a genuine safety, compliance, fraud or dispute issue is investigated.

Facilitators remain responsible for their own business and tax obligations, subject to amounts PATH is legally required to collect, report or remit.

11. Prohibited Conduct

Users must not: circumvent access or payment controls; scrape or harvest data without permission; interfere with security; impersonate another person; submit fraudulent bookings or claims; manipulate reviews, rewards or referrals; harass other users; promote unlawful activity; or materially threaten another person's safety or privacy.

12. Content, Reviews and Community Features

Users may post profiles, reviews, messages, images and other content where enabled ("Content"). You retain ownership of your Content but grant PATH a non-exclusive, worldwide, royalty-free licence to host, reproduce, format and display it as reasonably necessary to operate, secure and promote the Platform and the relevant public listing.

Content must be lawful, genuine and respectful of others. PATH may moderate, restrict or remove Content, and may preserve evidence where reasonably required for safety, disputes, legal obligations or platform integrity.

13. PATH Coins, Rewards and Referrals

PATH may issue promotional or engagement credits, including PATH Coins and later reward systems. Unless expressly stated otherwise, these are platform benefits only: they are not cash, deposits, bank balances, legal tender, or a promise of cash redemption; they cannot be sold or transferred outside permitted platform functionality; and they may be subject to expiry, reversal, eligibility and anti-abuse rules.

Referral rewards may be reversed if a qualifying transaction is refunded, reversed, fraudulent or otherwise invalid. PATH may correct obvious wallet or reward errors.

14. AI-Assisted Features and Recommendations

PATH uses automated and AI-assisted systems for onboarding, matching, recommendations, event classification, facilitator assessment and some internal operations. Outputs may be incomplete or incorrect and are not professional advice.

AI-assisted facilitator assessment may produce recommendations and safety signals; AI may recommend approval but does not independently reject a Facilitator application - a human administrator always makes that decision. Personalised recommendations are suggestions only, not endorsements or guarantees of compatibility, safety or outcomes.

15. Third-Party Services

The Platform relies on third-party payment, hosting, email, analytics and AI services. Their services may be subject to separate terms and availability, and PATH is not responsible for a third party's independent acts to the extent responsibility cannot lawfully be attributed to PATH.

16. Disputes and Chargebacks

Users should contact PATH first where a payment or refund issue can reasonably be resolved through support. Nothing in these Terms prevents a Member exercising lawful rights with their payment provider.

Because PATH is merchant of record, a card dispute (chargeback) initially affects PATH. PATH may provide booking, acceptance, refund and attendance/check-in evidence relevant to the dispute, and may withhold unpaid Facilitator earnings while a dispute is resolved, to the extent permitted by these Terms and law.

17. Consumer Guarantees and Liability

Nothing in these Terms excludes, restricts or modifies a consumer guarantee, right or remedy under the Competition and Consumer Act 2010 (Cth), the Australian Consumer Law, or other law where doing so would be unlawful.

To the maximum extent permitted by law, PATH excludes liability for indirect or consequential loss, and for loss arising from risks inherent in an independently delivered Facilitator activity, except to the extent caused by PATH's own breach, negligence or other non-excludable liability.

Where the law permits PATH to limit a remedy for a service, liability is limited, at PATH's option, to supplying the relevant platform service again or paying the reasonable cost of having it supplied again.

18. Facilitator Indemnity

To the maximum extent permitted by law, a Facilitator indemnifies PATH and its officers, employees and contractors against third-party claims, loss, liability and reasonable costs arising from the Facilitator's offering, breach of law, misleading description, professional conduct, negligence, infringement, failure to obtain required consent, licensing or insurance, or breach of these Terms - except to the extent caused or contributed to by PATH.

19. Suspension and Termination

PATH may suspend, restrict or terminate access where reasonably necessary because of material breach, fraud, a safety concern, unlawful conduct, repeated complaints, chargeback abuse, non-payment, failure to maintain Facilitator requirements, or risk to users or the Platform.

Users may close their account through available privacy settings at any time. A closed account is anonymised: your personal details are removed and you can no longer sign in, and this cannot be undone. Booking, payment, refund and dispute records are retained in anonymised or legally required form for as long as the law requires, including 5 years (Australian Taxation Office) and 7 years (ASIC) - see our Privacy Policy.

20. Intellectual Property

PATH and its licensors own the Platform software, brand, design, databases, documentation and other PATH materials, excluding user Content. No rights are granted except the limited right to use the Platform under these Terms.

21. Changes to the Platform or These Terms

PATH may change Platform functionality and update these Terms from time to time. Material changes will be published, and PATH will notify users of them. Changes do not retrospectively alter a booking's frozen price or refund terms (see clause 7). Your acceptance of a specific version of these Terms is recorded - including timestamp, IP address and method of acceptance - and retained as evidence.

22. Governing Law and Complaints

These Terms are governed by the laws of Victoria, Australia, subject to non-excludable consumer rights. You and PATH submit to the non-exclusive jurisdiction of the courts of Victoria.
